These Terms and Conditions (“Terms”) govern your use of https://hei.org.ng (the “Website”) and any purchase, donation, enrolment or registration you make through it. The Website is operated by Health Emergency Initiative (“HEI”, “we”, “us”), a not-for-profit organisation registered in Nigeria as HEALTH EMERGENCY INITIATIVE FOR INDIGENT PATIENTS – RC – 89370
By using the Website, placing an order, enrolling in a course or donating through it, you agree to these Terms, our Privacy Policy and our Refund Policy. If you do not agree, please do not use the Website.
2. Who may use the Website
You must be 18 or over to buy, enroll, open an account or make a payment. People under 18 may use the public pages and may take part in HEI programmes only with the consent and supervision of a parent, guardian or school.
You must give accurate information and keep your login details confidential. You are responsible for activity under your account. Tell us at [email ●] straight away if you suspect unauthorized use.
3. Acceptable use
You agree not to:
- use the Website unlawfully or to commit fraud, including fraudulent donations or use of someone else’s card;
- access, probe, overload or disrupt the Website, its accounts or servers, or introduce malware or spam;
- scrape or harvest data without our written permission;
- impersonate any person or organisation, or suggest that HEI endorses you or your activities;
- post content that is unlawful, defamatory, hateful or harassing, that infringes others’ rights, or that identifies a patient or child without proper authority; or
- use HEI’s name or logo to solicit funds or run a fundraiser without our written approval.
We may remove content and suspend access if you breach this section. We may report unlawful activity, including offences under the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 (as amended), to the authorities.
4. Health information and emergencies
Website content, FAQs and training materials are for general information and education only. They are not medical advice, diagnosis or treatment and do not replace a qualified health professional.
In an emergency, call 112 (Nigeria’s national emergency number) or the relevant local emergency line immediately. Do not rely on the Website, a social media message or our offices for emergency response.
Our courses teach skills such as CPR, first aid and Basic Life Support. Completing a course does not make you a licensed medical professional, does not guarantee any outcome in a real emergency, and does not replace professional judgement.
5. Donations
5.1 Voluntary gifts. Donations are voluntary gifts, made without any expectation of goods or services in return.
5.2 Channels. You can donate through the channels shown on the Website, including GlobalGiving, Paystack and bank transfer to HEI’s published accounts. When you give through GlobalGiving or another third party, that platform’s own terms, fees and privacy policy also apply, and your payment contract is with it. Always confirm account details on the Website. HEI will never ask you to donate to a personal account.
5.3 Use of funds. We use donations for HEI’s charitable purposes. Where you give to a specific campaign or purpose, we apply the gift to it. If a campaign is overfunded, or a purpose becomes impossible or unnecessary, we may apply the funds to a similar HEI programme, in line with the platform’s terms and HEI’s governing documents.
5.4 Fees. Payment processors and platforms may deduct fees, so the amount that reaches HEI may be less than the amount you gave.
5.5 Receipts and tax. We acknowledge gifts and issue receipts or donation or thank you certificate. Tax treatment depends on your country and the platform you use. Gifts made through GlobalGiving are receipted under GlobalGiving’s terms. We do not give tax advice.
5.6 Right to decline. We may decline or return a donation that we reasonably believe is linked to unlawful activity, breaches sanctions or anti-money-laundering rules, or conflicts with our mission, independence or reputation.
5.7 Lifesaving Partners and recurring gifts. Where you commit to be a Lifesaving Partner tier or a standing order, your gift continues at the interval you chose until you cancel. Recognition, including the HEI Hall of Fame, is offered with your consent, and we may withdraw it if conduct damages HEI’s reputation.
5.8 Refunds. Refunds of donations are covered in the Refund Policy.
6. HEI Academy: courses and training
6.1 Enrolment. Enrollment is confirmed when we receive full payment (or the deposit for a group booking) and send you confirmation. Prices are in Naira unless stated. Group, institutional and professional courses (such as BLS and ACLS) are priced per booking or quote. Minimum class sizes may apply and are shown when you book.
6.2 Delivery. We may change the venue, date, instructor or format for operational reasons, giving reasonable notice. Our courses are delivered by instructors certified for the relevant programme.
6.3 Certificates. On successful completion, participants receive an HEI certificate of completion where applicable. American Heart Association course completion cards, where offered, are issued only for AHA courses, in line with AHA requirements, and only to participants who meet its attendance and skills-test criteria. Attendance alone does not guarantee a certificate. We may withhold a certificate for non-payment, misconduct or unmet assessment standards.
6.4 Your responsibilities. Please arrive on time, follow instructors’ directions, and tell the instructor beforehand about any health condition or injury that could affect practical participation (for example kneeling or chest compressions on manikins). Practical sessions involve physical activity. We take reasonable care and supervise all practice, and you take part subject to section 14.
6.5 Course materials. Slides, videos, handouts and quizzes are licensed to you for personal, non-commercial learning only. You must not copy, record, share your account access, resell or publish them without our written permission. Online access lasts for the period stated on the course page.
6.6 Conduct. Disruptive, unsafe or abusive behaviour may lead to removal from a course without refund.
7. HEI Shop: merchandise
7.1 Products and prices. Prices are in Naira unless stated and can include or exclude applicable taxes. Delivery charges are shown at checkout. Images are illustrative and colours may vary by screen. Products are subject to availability and we may limit quantities.
7.2 Order acceptance. Your order is an offer to buy. A contract is formed when we dispatch the goods or confirm your order in writing. We may cancel an order because of a stock error, pricing mistake or suspected fraud, and we will refund anything you have paid.
7.3 Delivery. We deliver to the areas shown at checkout. Delivery times are estimates. Risk in the goods passes to you on delivery, and ownership passes when we receive full payment.
7.4 Purpose of sales. After costs, proceeds from merchandise support HEI’s charitable work. Buying merchandise is a purchase, not a donation and is not tax-deductible.
7.5 Returns and refunds. These are covered in the Refund Policy.
8. Payments
Payments are processed by third-party providers such as Paystack. We do not store your full card details. You confirm that you are authorised to use the payment method you choose. If a payment fails, is reversed or is disputed, we may suspend the order, enrolment or access. Please contact us before raising a chargeback so we can resolve the problem.
By setting up a recurring gift or subscription, you authorise us and our payment provider to charge the amount you chose, at the interval you chose, until you cancel.
9. Your content and submissions
Comments, messages, stories, photos, videos and applications you send us remain yours. You give HEI a non-exclusive, royalty-free licence to use, reproduce and display them for HEI’s charitable purposes, unless you tell us otherwise in writing. You confirm that you own or have permission to submit them, including the consent of anyone identifiable and of a parent or guardian for any child.
We may moderate, edit for length or clarity, or remove content, but we are not obliged to monitor it. Opinions in comments belong to the commenter, not HEI. We use beneficiary stories only with separate written consent (see section 6 of the Privacy Policy).
10. Intellectual property
The Website and its content, including HEI’s name, logos, text, graphics, photographs, videos, course materials and design, are owned by or licensed to HEI and protected by the Copyright Act 2022 and other laws.
You may view and print pages for personal, non-commercial use, and share links and social media posts. Any other use, including using our content or logos in media, fundraising or commercial work, needs our written permission. Please email [email protected]. Third-party marks, such as those of the American Heart Association and GlobalGiving, belong to their owners, and their appearance does not imply endorsement.
If you believe content on the Website infringes your rights, email us at [email protected] with the details and we will investigate promptly.
11. Third-party links and services
The Website links to and embeds third-party sites and services, including GlobalGiving, YouTube, Flickr, LinkedIn, other social platforms and payment providers. We do not control them and are not responsible for their content, availability, terms or privacy practices. A link is not an endorsement.
12. Accuracy of information
We work to keep the Website accurate and current. Our impact figures reflect HEI’s records at the time of publication and are updated periodically. The Website may contain errors or become out of date, and we do not warrant that it is complete. If you plan to rely on a figure in a report or grant application, please confirm it with us first.
13. Availability and disclaimer
The Website is provided “as is” and “as available”. We do not guarantee that it will be uninterrupted, error-free or free of viruses, and we may suspend or change features for maintenance, security or other reasons. To the fullest extent the law permits, we exclude all implied warranties.
14. Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under Nigerian law, including your rights as a consumer under the Federal Competition and Consumer Protection Act 2018.
Subject to that, and to the extent the law permits:
- HEI is not liable for indirect, consequential or special loss, loss of profit or loss of data arising from your use of the Website;
- HEI is not liable for loss caused by events beyond our reasonable control;
- HEI is not liable for how third parties, including GlobalGiving and payment providers, handle your payment or data; and
- our total liability to you for any claim relating to a purchase will not exceed the amount you paid for the relevant product, course or event.
15. Indemnity
To the extent the law permits, you agree to compensate HEI for losses, claims and costs (including reasonable legal fees) arising from your breach of these Terms, your unlawful use of the Website, or content you submit that infringes another person’s rights.
16. Suspension and termination
We may suspend or end your access, account or enrolment, with or without notice, if you breach these Terms or the law, or to protect the Website or other people. Provisions that by their nature should continue after termination, including intellectual property, liability, indemnity and governing law, will continue. The Refund Policy governs any refund that arises.
17. Events outside our control
HEI is not in breach of these Terms if a delay or failure results from events beyond our reasonable control, including natural disaster, epidemic, fire, flood, strikes, civil unrest, government action, road closures, power or telecom failures, or outages of third-party platforms. If we cancel a paid course or event for this reason, the Refund Policy applies.
18. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. If you have a complaint, please contact us first at [email protected] and we will try to resolve it amicably within 30 days. If we cannot, the parties will try mediation before starting court proceedings. Subject to that, the courts of Nigeria have exclusive jurisdiction. This does not affect any right you have as a consumer to bring a complaint to the Federal Competition and Consumer Protection Commission (FCCPC) or another competent authority.
19. General
These Terms, with the Privacy Policy and Refund Policy, are the whole agreement between you and HEI about the Website. If any provision is found unenforceable, the rest remains in force. A failure to enforce a right is not a waiver of it. You may not transfer your rights under these Terms. HEI may transfer its rights to a successor organisation. By using the Website you agree that we may contact you and give you notices by email or through the Website.
We may update these Terms from time to time. Updates take effect when posted, and continued use means you accept them. Changes do not affect orders and enrolments already confirmed.
